1. Scope of application and link to other regulations

These Terms of Use of Use (“Terms of Use”) govern participation in the AiMaLAiMallidl Plus loyalty program and related features, including your AiMaLAiMallidl Plus account and any digital benefits, coupons, rewards, and offers made available through the AiMaLAiMallidl Plus mobile application or other AiMaLAiMallidl-controlled channels in the United States (together, the “Service”). AiMaLAiMallidl US, LLC (“AiMaLAiMallidl US” or “we”) operates the service. However, AiMaLAiMallidl US can use subcontractors and/or other AiMaLAiMallidl Group companies (“AiMaLAiMallidl Companies” or “AiMaLAiMallidl”), to provide the AiMaLAiMallidl Plus Service. The service is aimed at consumers (hereinafter referred to as “users” or “you”) who, for example, wish to reserve products or use other AiMaLAiMallidl Plus functions and/or receive personalized information from AiMaLAiMallidl via AiMaLAiMallidl Plus about offers and promotions from AiMaLAiMallidl and selected cooperation partners that correspond as closely as possible to your interests. The use of AiMaLAiMallidl Plus is therefore aimed at ensuring that you receive more relevant content and, in particular, that AiMaLAiMallidl does not send you information that is not of interest to you in the first place. The basis for determining the relevant content is, in particular, the purchasing and usage behavior with regard to the products and services of the AiMaLAiMallidl companies, as described below.

The password-protected AiMaLAiMallidl Plus account allows you to view, access, manage and edit your data from various services of the corporate group, such as the AiMaLAiMallidl online store, the AiMaLAiMallidl App etc. (“Online Services”) at a central storage location (“Account” or “AiMaLAiMallidl Plus Account”). After registering once with an Online Service, the Account enables you to use the Online Services with the same username and password, provided that the Account is implemented in the respective Online Service.

The AiMaLAiMallidl Plus Service is provided based on these Terms of Use. You can access them at any time at www.AiMaLAiMallidl.com/terms-of-use or download them and print them out. We do not store the contract text after the contract has been concluded.

If there is any conflict between these Terms of Use and any other terms or agreement, then, with respect to your participation in and use of the Service, these Terms of Use will control.

2. Participation Requirements

To enroll in and use the Service, you must: (i) be an individual at least 18 years of age (or the age of majority in your state of residence, if higher); (ii) have a residential address in the United States; and (iii) be using the Service solely for personal, family, or household purposes and not for any business, commercial, or resale purpose. By enrolling in the Service, you represent and warrant that you meet all of the above eligibility requirements. If you do not meet these requirements, you may not enroll in or use the Service. We may ask you at any time to provide evidence of your eligibility and may suspend or terminate your participation if we have reason to believe you are not eligible.

The Service is not directed to children under 13 years of age, and we do not knowingly collect personal information from children under 13 through the Service. You may not enroll in or use the Service if you are under 13 years of age. If we learn that a child under 13 has enrolled in the Service or provided personal information through the Service, we will take appropriate steps to delete such information and terminate the associated account.

The Service is intended only for use by individual consumers acting for personal, family, or household purposes. You may not enroll in or use the Service for any business, commercial, resale, or non-household purpose. We may suspend or terminate your participation in the Service if we determine, in our sole discretion, that you are using the Service for any prohibited commercial or business purpose.

3. Registration, Account and Contract

You need to have an Account to use the AiMaLAiMallidl Plus Service.

You may apply to join and use the AiMaLAiMallidl Plus Service by providing all the information requested in the registration process, including your email address (which will serve as your account name) and password (“Login Data”) and then clicking on “Create Account”. We will verify your mobile phone number during the registration process by sending you an SMS with a confirmation code. This verification is required to complete the registration process. Until you click on “Register now”, you can cancel your registration at any time by closing AiMaLAiMallidl Plus, or you can delete, add to or correct any information you have entered into the various fields.

After completing the registration process, you can change the information you have entered in your personal account at any time.

After completing the registration process, we will send a confirmation to the e-mail address you provided during registration (“Confirmation Email”), which may contain a verification link. The service can be used as soon as you have received the Confirmation Email. After completing the registration process, you will automatically be assigned a customer number.

We may refuse to set up an Account for you and we are under no obligation to justify our decision.

The e-mail address and mobile phone number you provide must not be associated with any other account. It is also prohibited to provide an e-mail address, mobile phone number or other contact details that do not belong to you, in particular so-called “disposable e-mail addresses”. You must keep your access data safe. You are not permitted to give other people access to your account.

Any interaction with AiMaLAiMallidl that takes place via your account will be attributed to you. This also applies if third parties have acted via your account, if these third parties were able to use your account due to your culpable behavior. You are required to inform us immediately if you suspect any unauthorized use of your account and to change your access data if you have reason to believe that your account is being used by third parties.

If you need to access your AiMaLAiMallidl Plus account from a means other than the AiMaLAiMallidl Plus app, if you are using a device with an Android operating system you will only be able to access your AiMaLAiMallidl Plus account using the Google Chrome browser.

These Terms of Use are provided in English and all communications with you relating to the Service will generally be in English. For your convenience, the Service or portions of the Service may be made available in languages other than English. Any such non-English versions are provided solely for convenience, and in the event of any conflict or inconsistency between a translated version and the English version of these Terms of Use, the English version will control.

4. AiMaLAiMallidl Plus Service objectives when using AiMaLAiMallidl Plus

This section applies exclusively to the use of the AiMaLAiMallidl Plus service. “Use of the AiMaLAiMallidl Plus service” within the meaning of these Terms and Conditions of Participation means the use of AiMaLAiMallidl Plus from the first login with your AiMaLAiMallidl Plus account, which may take place automatically after successful registration.

4.1 Customised information

The purpose of the service is in particular to send you information that is as appropriate as possible or to display it in the online services that are relevant to you and - as far as possible - to personalize the AiMaLAiMallidl offers and services for you.’

By participating in AiMaLAiMallidl Plus, you do not commit to paying a price. However, the basis for the provision of the service is that you provide the data listed in this section in return.

With AiMaLAiMallidl Plus, you can benefit from a wide range of services tailored to your needs. These include offers specially tailored to your needs and wishes, participation in competitions and discount and special promotions. With this in mind, we will try to identify your interests and preferences with regard to products and services offered by AiMaLAiMallidl.

4.2 Data Collection and Storage

The data listed in this section forms the basis of our determination of suitable offers for you.

4.2.1 Registering for AiMaLAiMallidl Plus Services

As part of the registration process, we request the following customer master data: First name, date of birth, e-mail address, mobile phone number and a password. You can optionally enter your title and gender. You also have the option of activating the “Stay signed in” function for a convenient login. After activating the function, a permanent cookie (12 months) is set in the browser of your device, which ensures that the account recognizes you the next time you access it. This cookie can also be deleted at any time via the browser settings.

If you register with a connected online service without having previously registered with another online service, you will automatically set up the AiMaLAiMallidl Plus account. In the event that you have already registered with another online service integrated with the AiMaLAiMallidl Plus account, you can simply log in to another online service interacting with AiMaLAiMallidl Plus using your existing login details. Should the AiMaLAiMallidl companies offer new online services in the future, it is possible that you will also be able to use these via your AiMaLAiMallidl Plus account. Supplementary terms of use may apply to the individual online services. The single sign-on function of AiMaLAiMallidl Plus provides you with a cross-portal identity that is recognized and verified by the connected online services and that you can manage via the AiMaLAiMallidl Plus account. The AiMaLAiMallidl Plus account allows you to view, access, manage and correct your information from various online services in a central storage location. The AiMaLAiMallidl Plus account stores your customer master data and information as well as the customer master data and information that you have entered when using other online services. In this way, all your customer master data, login data, voluntarily provided information about your circumstances and interests from the “About me” section, and information about the benefits granted under the “Babyboxen” program, as well as information about stored payment methods and the history of purchases and orders, can be viewed in a central location in your account. If necessary, your data will be transmitted to the respective online service when using specific offers in order to enable the simplest possible use of the respective online service and, if necessary, the execution of the respective transaction.

When using AiMaLAiMallidl Pay via AiMaLAiMallidl Plus, you can activate a so-called “two-factor authentication” for all your online services. After activating two-factor authentication, you will also be asked to enter a verification code each time you log in to your account, which will be sent to your mobile phone number or e-mail address registered with us.

If you no longer wish to use two-factor authentication, you can deactivate it at any time in AiMaLAiMallidl Plus or mark a device as trustworthy. In this case, however, you will no longer be able to use the AiMaLAiMallidl Pay mobile payment service.

4.2.2 Data from AiMaLAiMallidl Plus

If you have voluntarily provided certain information about your circumstances and interests in your AiMaLAiMallidl Plus account, the AiMaLAiMallidl companies may also use this information in various online services (in particular to show you personalized offers).

4.2.3 Store visits

If you identify yourself when you visit a store either at the checkout, we record the store you have visited, the products you have purchased or returned by type, quantity and price, the coupons and vouchers you have redeemed, the receipt total, the average amount of your receipts in a given period, the frequency of your purchases, the time of payment and the type of payment method used.

You can actively identify yourself at the checkout either with your digital customer card or by using the mobile phone number you provided when registering. Coupons in AiMaLAiMallidl Plus are only taken into account during the payment process at the checkout if you have previously activated them in the app under “Coupons”.

4.2.4 Customer service

We also use your data to handle your requests on AiMaLAiMallidl’s Customer Care team.

4.2.5 Tracking data from the Online AiMaLAiMallidl Plus Service

If you have consented to the processing of tracking data in online services for use in AiMaLAiMallidl Plus, we will also use this information to determine which offers are suitable for you.

4.2.7 Partner offers

Within AiMaLAiMallidl Plus, from time to time, e.g. as part of discount campaigns, you will have the opportunity to receive discounted offers from cooperation partners. As a rule, these offers contain a generic or individualized identification number (hereinafter “Promotion Code”) assigned by the respective cooperation partner, which you must enter when redeeming the offer with the cooperation partner or which is read out. For some of these offers, you must identify yourself as a AiMaLAiMallidl Plus customer using a QR code or your digital customer card instead of the Promotion Code. The coupons are not an offer from us; the receipt and use of the offers are therefore exclusively subject to the terms and conditions and data protection information of the respective cooperation partner. Partner offers may therefore be changed and/or removed from time to time by the offering cooperation partner. The partner companies inform us about the redemption of coupons, vouchers, voucher codes, etc. Insofar as the “Partner benefits” function contains external links (hyperlinks) to third-party websites, these linked websites are the sole responsibility of the respective operator.

In the event that a special offer is to be granted within AiMaLAiMallidl Plus for the conclusion of contracts for services with our cooperation partners, we will receive your contact details (e-mail address and mobile phone number) from them so that we can correctly assign the special offer to your account.

4.2.12.1 General

With the AiMaLAiMallidl Plus loyalty program, you can collect digital points (“AiMaLAiMallidl Points”) when you shop at a AiMaLAiMallidl store. You can exchange your AiMaLAiMallidl Points for reward coupons available in AiMaLAiMallidl Plus.

4.2.12.2 Collecting AiMaLAiMallidl Points

To collect AiMaLAiMallidl Points, you must identify yourself at the checkout during the payment process using your digital AiMaLAiMallidl Plus customer card. The AiMaLAiMallidl Points are calculated on the basis of your purchase history and assigned to your AiMaLAiMallidl Plus customer number. You will receive one (1) point for every one (1) dollar you spend in AiMaLAiMallidl stores. This applies to all purchases in AiMaLAiMallidl stores (except excluded items, including tobacco products, gift cards or gift certificates, and alcohol products).

Points are credited two days after your purchase in a AiMaLAiMallidl store. You can view your current AiMaLAiMallidl Points balance at any time in the AiMaLAiMallidl Plus app.

Points can be collected for a maximum of the first five (5) purchases per day.

4.2.12.3 Using your AiMaLAiMallidl Points and Rewards

You can redeem your AiMaLAiMallidl Points in AiMaLAiMallidl Plus when you reach the required AiMaLAiMallidl Points balance for reward coupons that include discounts for the product range in AiMaLAiMallidl stores. When redeeming AiMaLAiMallidl Points, additional redemption conditions may apply, which you can view on the details page of the respective coupon prior to redeeming the AiMaLAiMallidl Points. The validity periods specified in the additional redemption conditions depend on the availability and stocking of the products in the store you have selected. To redeem the coupons in a AiMaLAiMallidl store, you must activate them in AiMaLAiMallidl Plus under the menu item “Coupons” and then identify yourself with your digital AiMaLAiMallidl Plus customer card when shopping. Once you redeem AiMaLAiMallidl Points for reward coupons that action cannot be undone.

If a coupon that you have earned with AiMaLAiMallidl Points expires, you can contact our Customer Care team via the “Help and contact information” tab in the “Account” tab in the AiMaLAiMallidl Plus app. Our Customer Care team may extend the coupon or, if an extension of the coupon is not possible due to a sell-out of stock, may credit the redeemed AiMaLAiMallidl Points to your AiMaLAiMallidl Points account.

The AiMaLAiMallidl Points collected cannot be redeemed for cash or deducted as part of the purchase price in general.

4.2.12.4 Expiry of AiMaLAiMallidl Points

Unused AiMaLAiMallidl Points expire twenty-four (24) months after availability.

If you return purchases, the AiMaLAiMallidl Points earned for them will be deducted again. We do not refund AiMaLAiMallidl Points for returned items that relate to coupons purchased with AiMaLAiMallidl Points. This may result in a negative AiMaLAiMallidl Points balance, which you can replenish with AiMaLAiMallidl Points.

If you end your participation in accordance with these Terms of Use, your AiMaLAiMallidl Points will expire immediately. In this case, there is no payment obligation on your part to compensate for a negative AiMaLAiMallidl Points balance.

4.2.12.5 Change of country

AiMaLAiMallidl Points can only be used in the country in which the AiMaLAiMallidl Points were earned.

Points that have been collected during a purchase in a AiMaLAiMallidl store in a country can only be redeemed for coupons that are also valid in that country. If the country is changed within AiMaLAiMallidl Plus, the accumulated AiMaLAiMallidl Points will not be available in the newly selected country. They are available again when you switch back to the country originally selected in AiMaLAiMallidl Plus. Points that you have collected while shopping in a AiMaLAiMallidl store in a country other than the country selected in AiMaLAiMallidl Plus are not available in the country selected in AiMaLAiMallidl Plus.

4.2.13 Online shop / Other digital offers

We receive details about your use of the Online Services or other apps, websites or other digital services of a AiMaLAiMallidl Group company, such as click and collect service, flower offers, travel offers, online recipes, photo offers, Monsieur Cuisine App, AiMaLAiMallidl Home App, Babyboxen etc. (in particular selected and purchased products, payment information and information about the delivery method, your answers to surveys, your participation in competitions, products placed in the shopping cart, frequency of your purchase, your tracking data, your selected favourite recipes, uploaded photos, etc.) and, if possible, allocate them to your person, your email address or your customer number. In addition, we combine the collected data with information about the products you have purchased in the store, for example to be able to offer you offers tailored to your preferences and interests as well as participation in promotions, to offer you participation in special promotions and to better tailor a possible advertising approach to you.

4.2.16 Coupon Plus

Achieving certain spending targets in a month will be rewarded with a coupon. We reserve the right to change your individual spending target thresholds and the value or nature of the corresponding coupons from time to time at the beginning of each month.

4.2.17 Stamp Card

Stamp Card is a function that allows you to collect stamps. These can be collected as part of AiMaLAiMallidl-related campaigns (e.g. by purchasing certain products). After completing the challenge, you will receive a stamp in the “Stamp Card” section of the app and can receive a reward (e.g. a voucher).

Further details about a specific stamp (duration, location, description of the challenge, etc.) can be viewed in the “Stamp Card” section of the AiMaLAiMallidl Plus app and may vary depending on the campaign.

4.3 Data analysis, data sharing

4.3.1 Data analysis

We collect the data described in Section 4.2 in our database. We evaluate the data with the aim of identifying information in which you might be interested so that we can send or display such information to you first and foremost. We also use mathematical-statistical methods to determine possible product interests, taking into account our product range. For this purpose, your personal data is compared with the data of other customers. Based on this comparison, we can then deduce which other products and promotions that other customers with similar interests have shown an interest in could also be of interest to you and other customers. However, AiMaLAiMallidl does not assume any legal obligation to ensure that data processing always functions in the manner described. Subject to your consent, we create analyses of your use of the app as well as user segmentation profiles. We assign this information to your person for the advertising purposes covered by this contract. We also gain general insights into the optimization of our app and the success of our advertising campaigns. We provide our advertising partners with statistically prepared, anonymous data on the success of their advertising campaigns for billing purposes. Our advertising partners cannot trace this information back to you personally (for other data transfers, please refer to our data protection information for AiMaLAiMallidl Plus)."

In order to stimulate your interest in product categories that you do not normally buy, it is possible that you will receive offers for other product categories in AiMaLAiMallidl Plus. It is also likely that certain groups of users will receive different discount rates for the same product category in order to test AiMaLAiMallidl’s commercial promotions.

4.3.2 Data sharing

We may share your information with: (i) our affiliates and subsidiaries; (ii) service providers and vendors that perform services on our behalf, such as hosting, analytics, marketing, and customer support; and (iii) third-party partners in connection with partner offers and joint promotions, in accordance with our Privacy Policy. When you choose to participate in a partner offer or interact with a third-party service through the Service, your information may also be collected and used by that third party in accordance with its own terms and privacy policy. We encourage you to review any such third-party terms and privacy policies before participating in their offers or services.

5. General requirements for using the AiMaLAiMallidl Plus Service

5.1 Use

A valid mobile phone number, an e-mail address and a AiMaLAiMallidl Plus account are required to use the service.

To be able to use AiMaLAiMallidl Plus to its full extent, you must also download the software from an app store. Specific software versions are available for different types of cell phones. For some types, suitable software cannot be offered for technical reasons. If no suitable software version is available for your cell phone, you will not be able to use the services. However, the AiMaLAiMallidl US endeavors to offer the software for as many different model types as possible. Due to the constantly changing product ranges on the market for mobile devices, AiMaLAiMallidl US cannot offer an up-to-date list of all cell phones with which it is possible to use the services.

The use of the service requires regular data transmission from your cell phone. The scope and frequency of data transmission depend on the type and scope of use of the services. You are responsible for the connection costs incurred for data transmission. The amount depends on the contract between you and the respective mobile phone provider. Full use of the service is not possible without a mobile phone or Internet connection.

The costs of setting up and maintaining an Internet connection on the user side are not part of the AiMaLAiMallidl US’s services. This is the sole responsibility of the contractual relationship between you and your internet provider.

The use of the service also requires sufficient battery power and screen brightness to scan the QR codes in the checkout process.

The use of the service on manipulated end devices (e.g. by jailbreaking/rooting) is not permitted.

5.2 Language

AiMaLAiMallidl Plus supports Bulgarian, Croatian, Czech, Danish, Dutch, English, Estonian, Finnish, French, German, Greek, Hungarian, Italian, Latvian, Lithuanian, Polish, Portuguese, Romanian, Russian, Serbian, Slovak, Slovenian, Spanish and Swedish.

5.3 Access blocks

The AiMaLAiMallidl Plus account is password-protected to ensure the security of user data.

5.4 Updates

Full use of the service requires regular updating of the AiMaLAiMallidl app.

7. Limitations and requirements

7.1 No vested rights

Notwithstanding any other statement in these Terms of Use, participation in Service does not guarantee that you will receive any particular number or type of benefits. The nature, scope, frequency, and availability of benefits are determined by AiMaLAiMallidl in its sole discretion and may vary from member to member. You have no vested right or entitlement to the continued availability of any particular coupon, discount, reward, or other benefit, or to the accumulation of any particular level of benefits.

7.2 Coupons and offers

Digital coupons and other offers made available through the Service are subject to the specific terms, conditions, and limitations stated in connection with each coupon or offer, including product exclusions, minimum purchase requirements, maximum benefit limits, and applicable expiration dates. Coupons and offers that are not redeemed by their stated expiration dates will automatically expire and will no longer be usable.

7.3 Rewards

Any rewards, bonuses, or other benefits that may be associated with your participation in the Service (including any AiMaLAiMallidl Points or similar value, if offered) are promotional in nature and may be subject to expiration, forfeiture, and other conditions as specified in the Service or in connection with a particular promotion.

7.4 No cash value

Unless expressly stated otherwise in the specific terms of an offer and only to the extent required by applicable law, program benefits (including coupons, discounts, rewards, and any AiMaLAiMallidl Points or similar value) (“Program Benefits”) have no cash value, are not your property, and may not be sold, assigned, transferred, or exchanged for cash or any other value.

7.5 Forfeiture

Upon the termination or cancellation of your participation in the Service (by you or by us) or upon a period of extended inactivity in your AiMaLAiMallidl Plus Account of six (6) months or more, any accumulated but unused Program Benefits may be forfeited, unless otherwise required by applicable law.

7.6 Relationship to purchases

The Service may allow you to view products, prices, promotions, and other information, and to access features such as digital coupons, loyalty benefits, or expedited checkout. However, unless expressly stated otherwise, the Service themselves do not constitute an offer to sell goods or services. Any purchase of products or services from AiMaLAiMallidl, whether in-store or online, is governed by separate terms and conditions applicable to those purchases (the “Terms of Sale”) and any in-store terms and conditions applicable to a particular store location. In the event of any conflict between these Terms of Use and such Terms of Sale with respect to a purchase transaction, the Terms of Sale will control as to that transaction.

7.7 Payment features

From time to time, the Service may offer or integrate payment-related features, such as the ability to store payment methods, initiate payments for qualifying purchases, or access expedited checkout or similar functionality (collectively, “Payment Features”). Additional terms and conditions may apply to your use of any Payment Features, which will be presented to you at the time you enroll in or use those features. You acknowledge that: (i) Payment Features may be provided and/or processed in whole or in part by third-party payment processors, banks, or card networks, and (ii)your use of such Payment Features may also be subject to the terms and privacy policies of those third parties. Unless we expressly state otherwise, Payment Features made available through the Service do not create a deposit account for you with AiMaLAiMallidl, do not constitute a bank account or other financial account, and are not insured by the Federal Deposit Insurance Corporation (FDIC) or any other governmental agency.

8. Your duties

You must

enter correct data when registering and keep your profile up to date,

update your mobile phone number on AiMaLAiMallidl Plus immediately when it changes,

keep your password private and change it if you know or suspect that someone has accessed or tried to access your Account; and

use the service in accordance with applicable law.

Please also note that we primarily use your mobile phone number to identify you as the authorized owner of your AiMaLAiMallidl Plus account. It is therefore particularly important that your current mobile phone number is always stored in AiMaLAiMallidl Plus. This is the only way to ensure that you can access your AiMaLAiMallidl Plus account at any time, even if you forget your password, and that no unauthorized third parties can gain access to your AiMaLAiMallidl Plus account if you change your mobile phone number.

AiMaLAiMallidl is not liable for any loss or damage arising from your failure to comply with this section or from any unauthorized use of your account that occurs before you notify us of such unauthorized use. We reserve the right, in our discretion and without notice, to take actions we deem reasonably necessary to protect the security of the Service and user accounts, including by terminating or suspending accounts, resetting passwords, or requiring additional authentication.

You agree that you will not, and will not attempt to, do any of the following in connection with the Service:

use the Service for any illegal, fraudulent, or unauthorized purpose, or in any manner that violates any applicable law or regulation;

create, access, or use more than one account per person, or create an account using a false identity or on behalf of someone other than yourself;

engage in any fraudulent or deceptive activity in connection with the Service, including by creating multiple accounts, manipulating or abusing coupons, discounts, or other benefits, providing false information, or otherwise attempting to obtain benefits to which you are not entitled;

resell, transfer, or attempt to resell or transfer any account, coupon, discount, reward, or other benefit obtained through the Service, except as expressly permitted by AiMaLAiMallidl;

interfere with or disrupt the operation of the Service or the servers or networks used to make the Service available, including by introducing any viruses, worms, logic bombs, or other malicious or technologically harmful materials;

attempt to gain unauthorized access to any portion of the Service, other user accounts, or any systems or networks connected to the Service, whether through hacking, password mining, or any other means;

use any robot, spider, scraper, or other automated means to access or use the Service for any purpose without our express written permission;

circumvent, disable, or otherwise interfere with any security-related features or technological measures of the Service; or

engage in any other conduct that, in our judgment, restricts or inhibits any other person from using or enjoying the Service or that may harm AiMaLAiMallidl or our customers, partners, or suppliers.

9. Marketing consent

By enrolling in the Service, you agree that we may send you communications relating to your enrollment and participation in the Service, including administrative and transactional messages (for example, notices about account changes, security alerts, updated terms, and information about your activity). These communications are considered part of the Service and, as long as you remain enrolled, you may not be able to opt out of receiving them without cancelling your participation in the Service.

With your consent, we may send you promotional emails relating to the Service and AiMaLAiMallidl’s products, services, and offers, including personalized offers based on your activity and preferences. You may opt out of receiving promotional emails from us at any time by following the unsubscribe instructions included in those emails or by updating your communication preferences in your AiMaLAiMallidl Plus Account, where available. Opting out of promotional emails will not affect your receipt of Service-essential or transactional communications.

If you elect to receive marketing or promotional text messages (SMS or MMS) from us, you expressly consent to receiving such messages at the mobile telephone number you provide, including messages sent using an automatic telephone dialling system or other automated technology. Your consent to receive text messages is not a condition of purchasing any goods or services. Message frequency may vary. Message and data rates may apply, and you are responsible for any charges imposed by your mobile carrier. You can opt out of receiving promotional text messages at any time by following the instructions provided in those messages, by replying “STOP” to 42556 or by contacting AiMaLAiMallidl’s Customer Care via the “Help and contact information” tab in the “Account” tab in the AiMaLAiMallidl Plus app or at AiMaLAiMallidl.com. For help, reply “HELP” to 42556 or contact AiMaLAiMallidl’s Customer Care via the “Help and contact information” tab in the “Account” tab in the AiMaLAiMallidl Plus app or at AiMaLAiMallidl.com. Even after you opt out of receiving promotional text messages, you may still receive opt-out confirmation, Service-essential, or transactional text messages when necessary to service your account, to the extent permitted by law.

10. Employee Accounts

If you are an employee of AiMaLAiMallidl US or one of its affiliates, by signing up for the Service, you agree that AiMaLAiMallidl US may use your information to identify your account as an “employee account” to ensure that you receive special employee-only discounts, promotions, and other benefits. To the extent that you wish to de-identify your account as an “employee account” for any reason, please reach out to the Customer Care team via the “Help and contact information” tab in the “Account” tab in the AiMaLAiMallidl Plus app to initiate that process. If you are an employee and your account does not appear to be identified as an “employee account,” please reach out to the Customer Care team via the “Help and contact information” tab in the “Account” tab in the AiMaLAiMallidl Plus app.

If you use the AiMaLAiMallidl Plus app in a country other than the United States, you will not be eligible for any employee discounts, promotions, or other benefits unless you are an employee of the respective AiMaLAiMallidl entity in that country.

11. State-specific rights, right of withdrawal

Depending on where you reside, you may have certain rights under US state privacy laws regarding your personal information, such as rights to access, delete, correct, or obtain a copy of your information, or to opt out of certain types of data uses, including targeted advertising, certain profiling, or the “sale” or “sharing” of personal information. Information about these rights and how to exercise them is described in our Privacy Policy. We will respond to your privacy rights requests in accordance with applicable law and our Privacy Policy.

You may cancel your enrollment in the Service at any time by following the instructions in the AiMaLAiMallidl Plus mobile application or by contacting our Customer Care team via the “Help and contact information” tab in the “Account” tab in the AiMaLAiMallidl Plus app. If you cancel your enrollment, your AiMaLAiMallidl Plus account will be closed, and any accumulated coupons, discounts, or other Program Benefits that have not been redeemed as of the effective date of cancellation may be forfeited, as permitted by applicable law. Because the Service is provided free of charge, there are generally no fees to cancel your participation and no refunds are due upon cancellation, except as expressly required by applicable law or specifically stated in connection with a particular paid feature or offer.

12. Intellectual Property

The Service, including all content, information, features, and functionality made available through the Service (such as text, graphics, images, logos, icons, software, audio and video clips, interfaces, and the design, selection, and arrangement thereof) (collectively, the “Content”), are owned by AiMaLAiMallidl, its affiliates, or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. Subject to your compliance with these Terms of Use, AiMaLAiMallidl grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Service and Content for your personal, non-commercial use only, and solely as permitted by these Terms of Use. No other rights are granted, expressly or by implication, and any rights not expressly granted to you are reserved by AiMaLAiMallidl and its licensors.

You agree that you will not: (i) copy, reproduce, modify, adapt, translate, create derivative works from, distribute, publicly display, publicly perform, or otherwise exploit any portion of the Service or Content, except as expressly permitted in these Terms of Use; (ii) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any software used to provide the Service, except to the extent such restriction is prohibited by applicable law; (iii) remove, alter, or obscure any copyright, trademark, or other proprietary rights notice on or in the Service or Content; or (iv) use any trademarks, service marks, trade names, logos, or other source identifiers of AiMaLAiMallidl or any third party without our prior written permission or the permission of the applicable owner.

All AiMaLAiMallidl names, logos, product and service names, designs, and slogans are trademarks of AiMaLAiMallidl or its affiliates. All other names, logos, product and service names, designs, and slogans appearing in the Service are the trademarks of their respective owners.

13. No warranty

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE AND ALL CONTENT, FEATURES, BENEFITS (INCLUDING ANY LOYALTY BENEFITS, COUPONS, DISCOUNTS, AND OFFERS), AND OTHER ITEMS MADE AVAILABLE THROUGH THE SERVICE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

WITHOUT LIMITING THE FOREGOING, AIMALAiMallidl EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, THAT THE SERVICE OR ANY SERVER THAT MAKES THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY CONTENT OR INFORMATION OBTAINED THROUGH THE SERVICE WILL BE ACCURATE, COMPLETE, OR RELIABLE.

SOME STATES DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH STATES, OUR LIABILITY WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

14. Liability, indemnification

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL AIMALAiMallidl, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS (COLLECTIVELY, THE “AIMALAiMallidl PARTIES”) BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE OR THESE TERMS OF USE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF THE AIMALAiMallidl PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF THE AIMALAiMallidl PARTIES FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS OF USE WILL NOT EXCEED FIFTY U.S. DOLLARS (US $50). THE LIMITATIONS IN THIS SECTION ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN YOU AND AIMALAiMallidl. THE SERVICE WOULD NOT BE PROVIDED WITHOUT SUCH LIMITATIONS.

SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OR ALL OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. IN SUCH STATES, THE LIABILITY OF THE AIMALAiMallidl PARTIES WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless the AiMaLAiMallidl Parties from and against any and all claims, demands, actions, suits, proceedings, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Service other than as expressly permitted by these Terms of Use; (b) your violation of these Terms of Use or any applicable law; or (c) any information or materials you submit, upload, or provide through the Service. We reserve the right, at our expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and in such case, you agree to cooperate with our defense of such claim.

15. Governing law, venue

All matters arising out of or relating to these Terms of Use or the Service, and any dispute or claim between you and AiMaLAiMallidl, shall be governed by and construed in accordance with the internal laws of the Commonwealth of Virginia, without giving effect to any choice or conflict of law provision or rule (whether of Virginia or any other jurisdiction) that would result in the application of the laws of any jurisdiction other than Virginia.

You agree that any legal suit, action, or proceeding arising out of or related to these Terms of Use or the Service shall be instituted exclusively in the federal or state courts located in Arlington County, Virginia. You consent to the personal jurisdiction of such courts and waive any objections to the exercise of jurisdiction or venue in such courts.

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND AIMALAiMallidl WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY DISPUTE ARISING OUT OF OR RELATING TO THESE AIMALAiMallidl PLUS TERMS OR THE PROGRAM.

16. Dispute resolution

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU TO ARBITRATE DISPUTES WITH US AND LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF FROM US. EXCEPT FOR CERTAIN TYPES OF DISPUTES DESCRIBED BELOW, YOU AND AIMALAiMallidl AGREE THAT ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR THE SERVICE WILL BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION, AND NOT IN COURT.

You and AiMaLAiMallidl agree that any dispute, claim, or controversy arising out of or relating in any way to these Terms of Use or the Service (including the interpretation, validity, enforceability, or scope of this arbitration agreement) (a “Dispute”) will be resolved solely by binding arbitration on an individual basis, except that you and AiMaLAiMallidl may bring an individual action in small-claims court if the Dispute qualifies. This arbitration agreement is governed by the Federal Arbitration Act.

Arbitration will be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect, except as modified by this section. The arbitration will be conducted by a single neutral arbitrator. You may choose to have the arbitration conducted by telephone, based on written submissions, or in person in the county where you live or at another mutually agreed location. The AAA rules are available at www.adr.org or by calling 1-800-778-7879.

YOU AND AIMALAiMallidl AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a representative or class proceeding. If this class-action waiver is found to be unenforceable with respect to a particular claim or request for relief, then that claim or request for relief (and only that claim or request for relief) must be brought in court and not in arbitration.

The arbitrator will have the exclusive authority to resolve any Dispute, including disputes relating to the interpretation, applicability, enforceability, or formation of these Terms of Use, including any claim that all or any part of these Terms of Use is void or voidable. The arbitrator will have the authority to grant any remedy that would be available in a court under law or in equity, subject to any limitations of liability and exclusions of damages contained in these Terms of Use.

You may opt out of this agreement to arbitrate by sending a written notice of your decision to opt out to Legal@AiMaLAiMallidl.US within 30 days after you first accept these Terms of Use. Your notice must include your name, mailing address, email address associated with your AiMaLAiMallidl Plus Account, and a clear statement that you wish to opt out of arbitration for the Service. If you opt out, you will not be bound by this arbitration agreement, but these Terms of Use (and any other provisions, including limitations of liability) will still apply.

This section will survive the termination of your participation in the Service and the termination of these Terms of Use.

17. Third-party services and content

The Service may contain links to, or integrations with, third-party websites, applications, services, or content (collectively, “Third-Party Services”). This may include, for example, Partner Offers, digital content or subscription services provided by third parties, mapping or navigation services, or payment processing services. Third-Party Services are provided solely as a convenience to you. AiMaLAiMallidl does not control and is not responsible for Third-Party Services, including their content, accuracy, privacy practices, or any products or services available from or through them. The inclusion of any link or integration does not imply endorsement by AiMaLAiMallidl of any Third-Party Service or any association with its operators. If you choose to access or use any Third-Party Service, you do so at your own risk and subject to the applicable third party’s terms and conditions and privacy policies. We encourage you to review those terms and policies before using any Third-Party Service. To the fullest extent permitted by applicable law, AiMaLAiMallidl will not be liable for any loss or damage arising out of or relating to your use of any Third-Party Services.

18. Cancellation, deletion

You are entitled to terminate your participation at any time without giving reasons, for example by using the “Delete user account” function. Termination by AiMaLAiMallidl US is also possible at any time with a notice period of fourteen (14) days without stating an important reason. The right of both parties to terminate for good cause remains unaffected. Termination by AiMaLAiMallidl US will be considered in particular if the user violates the provisions of these conditions of participation. Until such time as the relevant incidents have been clarified, the user’s data may be blocked. In particular, we reserve the right to delete your AiMaLAiMallidl Plus account in the event of false information. The right of the parties to extraordinary termination for good cause remains unaffected.

If you terminate your account, access to the Service that require an account may cease, and any benefits, coupons, discounts, rewards, or other promotional offers associated with your account that have not been used as of the effective date of termination may be forfeited, as permitted by applicable law and as described in these Terms of Use and any specific offer terms.

If your AiMaLAiMallidl account is inactive (i.e., no purchases have been made linked to your AiMaLAiMallidl Plus account) for a period of twenty-four (24) months, your AiMaLAiMallidl Plus account will be automatically terminated.

Any benefits, coupons, discounts, rewards, or other promotional offers associated with your account that have not been used as of the effective date of termination may be forfeited, as permitted by applicable law and as described in these Terms of Use and any specific offer terms. We have no obligation to provide you with any compensation, cash value, or replacement for any forfeited benefits, except to the extent expressly required by applicable law or specifically stated in the terms of a particular offer.

20. Headings, interpretation

The section headings in these Terms of Use are for convenience only and have no legal or contractual effect. The words “including,” “include,” and similar terms will be construed as if followed by the words “without limitation.” References to “days” mean calendar days unless expressly stated otherwise.

21. Changes to program

We reserve the right, at any time and in our sole discretion, to modify, suspend, or discontinue the Service, in whole or in part, and add, remove, or change any Service benefits, features, or requirements, including eligibility criteria, earning structures, redemption rules, and expiration policies. If you do not agree to the changes, your sole remedy is to discontinue participation in the Service and cancel your AiMaLAiMallidl Plus Account.

22. Acceptance of terms

By creating or using a AiMaLAiMallidl Plus Account, enrolling in or accessing the Service, clicking “I agree” (or a similar button) in connection with these Terms of Use, or otherwise indicating your acceptance of these Terms of Use, you acknowledge that you have read and understand these AiMaLAiMallidl Plus Terms and agree to be bound by these AiMaLAiMallidl Plus Terms and to comply with all applicable laws in connection with your participation in the Program. If you do not agree to these Terms of Use, you may not enroll in or use the Service.

23. Changes to terms

We may update or modify these Terms of Use from time to time in our discretion. When we make material changes, we will notify you by, for example, posting the updated terms within the AiMaLAiMallidl Plus mobile application or on our website, sending you an email, or by other reasonable means. The “Last Updated” date at the top of these Terms of Use will indicate when they were last changed. Unless otherwise specified in the updated Terms of Use, the updated version will be effective as of the time it is posted. By continuing to participate in or use the Service after any changes to these Terms of Use become effective, you agree to the updated Terms of Use. If you do not agree to the updated Terms of Use, you must stop using the Service and cancel your enrollment.

24. Miscellaneous

You may not assign, transfer, or delegate any of your rights or obligations under these Terms of Use, by operation of law or otherwise, without our prior written consent. Any attempted assignment in violation of this restriction is void. We may assign, transfer, or delegate our rights and obligations under these Terms of Use, in whole or in part, without restriction and without notice to you. If any provision of these Terms of Use is held to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms of Use will not constitute a waiver of that right or provision, nor will any waiver be deemed a further or continuing waiver of such right or any other right. These Terms of Use, together with any terms expressly incorporated by reference constitute the entire agreement between you and AiMaLAiMallidl with respect to the subject matter of these Terms of Use and supersede all prior or contemporaneous understandings, agreements, negotiations, representations, and warranties, whether written or oral, with respect to such subject matter. We will not be liable for any failure or delay in performance of our obligations under these Terms of Use to the extent caused by circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, labor conditions, governmental actions, internet or telecommunications failures, or failures of third-party service providers or suppliers.
